Terms of Use

These terms explain what you receive when you buy Constellation, how the paper-trading product may be used, and the responsibilities that remain yours.

1. About these terms

These Terms of Use form an agreement between you and Constellation for your purchase of and access to the Constellation macOS application, the constellation.trade website, Observatory, and related services (together, the “Service”). Constellation is operated from the United Kingdom.

By buying, creating an account for, downloading, or using the Service, you agree to these terms. Our Privacy Policy explains how we handle personal information. If you do not agree, do not buy or use the Service.

2. Who may use Constellation

You must be at least 18 years old and legally able to enter into a contract. You may use the Service only where doing so is lawful.

You are responsible for giving accurate account information and keeping your Constellation account, Mac login, Keychain, and Alpaca account secure. Tell us promptly if you believe your Constellation account has been compromised.

3. What Constellation provides

Constellation is software designed to run a private trading engine on a compatible Apple-silicon Mac and provide browser access through Observatory. Its current customer topology connects one Alpaca Paper account and keeps Equities, Day Trading, and Options logically separated inside Constellation.

The customer product is paper-only. It must not submit orders to an Alpaca Live account. Paper orders use simulated funds and are not transactions in real securities.

Trading lanes are released only when the product shows that the required evidence has passed. At the date of these terms, no lane is advertised as released. A purchase does not promise that a particular lane, strategy, feature, performance level, or release date will become available.

System requirements, storage estimates, current lane availability, and any separately priced provider plan are shown on the website and may change as the software develops.

4. Alpaca and third-party services

An Alpaca account is separate from Constellation and is governed by Alpaca’s own agreements, eligibility rules, disclosures, privacy practices, and service availability. Constellation is not Alpaca, does not open or administer your brokerage account, and does not control Alpaca’s prices or data entitlements.

The planned customer connection uses Alpaca OAuth. It is not yet enabled for customers and will remain unavailable until Alpaca approval and Constellation’s device-bound connection evidence have passed. When enabled, you will authorise the requested Paper-account, trading, and market-data permissions on Alpaca’s website. You must not give Constellation your Alpaca password, API key, API secret, or Constellation’s application secret.

Alpaca Basic is currently available without a monthly market-data charge, while optional paid Alpaca plans are purchased directly from Alpaca. Do not upgrade solely for Constellation unless the product clearly identifies a proved requirement. Charges from Alpaca, internet providers, Apple, or any other third party are not included in the £9.99 Constellation price.

Third-party services may change, suspend, or stop their products. We are not responsible for their acts, omissions, prices, outages, market data, or terms, although your statutory rights against us remain unaffected.

5. Purchase and licence

Constellation costs £9.99 as one payment. There is no recurring Constellation subscription. Payment is processed by Stripe, and your account is created only after payment is confirmed.

Once paid, we grant you a personal, limited, non-exclusive, non-transferable licence to install and use the customer version of Constellation on your registered compatible Mac for your own lawful, non-commercial purposes. You may make a reasonable backup copy for your own use.

The licence is not a sale of the software or its source code. The one-time price does not guarantee indefinite operation of third-party or hosted services, future features, or updates. We may provide fixes and updates where reasonably required for security, compatibility, or product operation.

6. Cancellation and refunds

Your mandatory consumer rights apply. Nothing in these terms removes or limits them.

If you are a UK consumer buying online, you will normally have 14 days to cancel. If you ask us to begin supplying downloadable digital content during that period, we will ask for your express consent and acknowledgement of any effect this has on your cancellation right before the download begins.

If digital content is faulty, not as described, or does not meet other legal requirements, you may be entitled to repair, replacement, a price reduction, or a refund under applicable consumer law. Contact support@constellation.trade with your purchase email and the problem you experienced.

7. Your responsibilities

You agree to:

  • use only an Alpaca Paper account with the customer release;
  • review orders, positions, lane status, system warnings, and provider information rather than assuming automation is correct;
  • maintain a supported Mac, current security updates, a secure network, and suitable backups;
  • comply with applicable law and the terms of Alpaca and other providers you choose to connect;
  • avoid attempting to bypass release gates, account ownership controls, rate limits, authentication, or security protections; and
  • not copy, resell, sublicense, publish, reverse engineer, or misuse the Service except where applicable law expressly permits it.

8. Paper trading and financial risk

Constellation is a software tool, not a broker, investment adviser, fiduciary, tax adviser, or financial planner. Nothing in the Service is personalised investment advice, a recommendation to buy or sell anything, or a promise of profit.

Paper trading is a simulation. It may not reproduce live liquidity, slippage, latency, partial fills, fees, market impact, assignment, exercise, outages, or emotional and operational factors. Historical tests, simulated returns, a “champion” label, and paper results do not predict future or live performance.

Do not use customer-release output to trade real money. Any later live-trading product would require separate release evidence, terms, controls, and approval; it is not included here.

9. Availability, security and updates

We aim to provide a secure and reliable Service, but software, networks, exchanges, market-data providers, and third-party APIs can fail. We do not promise uninterrupted, error-free, or permanently available operation.

We may release updates that fix defects, address security issues, change compatibility, or remove unsafe or unsupported functionality. You may need to install an update to continue using hosted features. We will describe material customer-facing changes in normal language.

You should stop the engine and disconnect Alpaca if behaviour appears incorrect or unsafe. You can also close or cancel paper positions through Alpaca.

10. Community content

If community features are available, you retain ownership of strategy descriptions or other original content you submit. You give us a worldwide, non-exclusive, royalty-free licence to host, reproduce, moderate, display, and distribute that content as needed to operate the community features you choose to use.

You must have the right to submit the content. It must not be unlawful, misleading, abusive, infringing, malicious, or designed to compromise another user or system. We may reject or remove content and restrict community access where reasonably necessary.

Community material is provided by users. We do not endorse it or promise that it is accurate, safe, profitable, compatible, or suitable for you.

11. Ownership

Constellation and its licensors own the Service, including its software, design, branding, documentation, and bundled strategy assets, except for customer content and third-party materials. All rights not expressly granted are reserved.

“Alpaca” and other third-party names and marks belong to their respective owners. Their appearance describes interoperability and does not by itself imply endorsement.

12. Our responsibility to you

We do not exclude or limit liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your mandatory consumer rights.

If we fail to comply with these terms, we are responsible for loss or damage that is a foreseeable result of that failure or our failure to use reasonable care and skill. We are not responsible for loss that was not foreseeable when you agreed to these terms.

The Service is supplied for personal use. We are not responsible for business losses, lost profit, lost opportunity, or investment loss resulting from using a paper-only product for real-money decisions, bypassing its controls, or relying on a third-party service outside our control.

13. Suspension and termination

You may stop using the Service and disconnect Alpaca at any time. Contact us if you want to close your Constellation account.

We may suspend hosted access where reasonably necessary to protect users or systems, investigate fraud or misuse, comply with law, or address a material breach of these terms. Where appropriate, we will explain the reason and provide a reasonable opportunity to correct the issue.

Terms that by their nature continue after termination—including ownership, licence restrictions, accrued payment obligations, and appropriate liability provisions—will continue.

14. Changes to these terms

We may update these terms to reflect product, provider, security, or legal changes. We will post the revised terms with a new effective date and give reasonable notice of material changes where required. Changes will not retrospectively remove rights you already have.

15. Governing law

These terms are governed by the laws of England and Wales. If you are a consumer elsewhere, you retain any mandatory protections provided by the law of your home country.

You may bring proceedings in the courts of the part of the United Kingdom where you live. Consumers living elsewhere may also have the right to use their local courts.
